Office Blocks Pte. Ltd. (“Office Blocks”, “us”, “we” or “our”) maintains this Website (the “Site”) for your personal use. Your access to and use of this Site is subject to the following terms of use (“Terms of Use”). Office Blocks reserves the right to update these Terms of Use at any time without notice to you. The most current version of the Terms of Use may be accessed by clicking on the “Terms of Use” hypertext link located at the bottom of the Site. By using this Site, you accept, without limitation or qualification, these Terms of Use. If you do NOT agree to these Terms of Use, please do NOT use this Site.

While Office Blocks strives to ensure that the information contained in this Site is accurate and reliable, Office Blocks makes no warranties or representations:

(a) as to the accuracy, correctness, reliability or otherwise with respect to such information;
(b) that the Site will function in an uninterrupted manner or be secure or free from errors; and
(c) that the Site will be free of viruses or other harmful code.

Office Blocks assumes no liability or responsibility for any omissions or errors in any material, data, text, content, graphics, images, videos, sounds and other content (“Content”) of this Site.

Office Blocks will periodically revise, suspend or remove the Content, services and resources contained in this Site and reserves the right to make such changes, suspension or removal without any obligation to notify past, current or prospective visitors. Office Blocks shall not be liable if any such changes, suspension or removal prevents you from accessing the Site.

We grant you a non-exclusive, non-transferable, revocable, limited right (without the right to sub-licence) to access and use the Site and Content solely for your personal or internal business purposes in accordance with these Terms of Use. Any rights not expressly granted to you under this paragraph are expressly reserved.

You may download Content for non-commercial, personal use only, provided you do not modify the Content and that all copyright, trademark or other proprietary notices remain unchanged and visible. All rights, title and interest in and to the Site and Content are owned, licensed to or controlled by us, our licensors, or our service providers and no right, title or interest in any downloaded materials is transferred to you as a result of any such downloading or copying. We reserve the right to enforce the intellectual property rights to the Site and Content to the fullest extent of the law.

Except as allowed under these Terms of Use, you agree that you will not otherwise copy, modify, alter, display, distribute, sub-licence, sell, reproduce, broadcast, transmit or create derivative works of any Content in any manner without the written permission of Office Blocks.

We do not warrant that the Site will be compatible or interoperable with your device or any other piece of hardware, software, equipment or device installed on or used in connection with your device. Furthermore, you acknowledge that compatibility and interoperability problems can cause the performance of your device to diminish or fail completely, and may result in permanent damage to your device, loss of data located on your device, and corruption of the software and files located on your device. You acknowledge and agree that Office Blocks and its subsidiaries, affiliates, partners, suppliers and licensors shall have no liability to you for any losses suffered resulting from or arising in connection with compatibility or interoperability problems.

As a condition of your use of the Site, you will not, and will not permit anyone else to, directly or indirectly:

(a) use the Site for any purpose that is unlawful or prohibited by these Terms of Use or any applicable laws;
(b) except as expressly permitted by law, rent, lease, sub-licence, copy, modify, adapt, merge, translate, reverse engineer, decompile, disassemble, make error corrections or create derivative works based on the whole or any part of the Site;
(c) remove Office Blocks’ or any other end user’s trade mark, copyright notice or any other proprietary notice;
(d) engage in any activity that interferes with or disrupts the Site;
(e) upload any comments or ideas that violates or infringes another party’s right of publicity, privacy, copyright, trade mark or other intellectual property right;
(f) use the Site for any purpose for which it is not designed or intended;
(g) use the Site to send, post or otherwise communicate any content that is offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, fraudulent, tortious, obscene or is racially, ethically or otherwise objectionable;
(h) use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Site, or any data or content found or access through the Site;
(i) collect any information in respect of other end users without their consent; and
(j) obtain or attempt to obtain unauthorised access to such parts of the Site, or to any other protected information, through any means not intentionally made available by us for your specific use.

You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Site, the server on which our Site is stored or any server, computer or database connected to our Site. You must not attack our Site via a denial-of-service attack or a distributed denial-of service attack.

We will report any breach of this provision to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Site or to your downloading of any material posted on it, or on any website linked to it.

You may choose to or we may invite you to submit comments or ideas about improvements to the Site (“Commentary”). If you submit any Commentary to us, we will presume that your submission was voluntary, unsolicited by us, and delivered to us without any restrictions on our use of the Commentary. You also agree that Office Blocks has no fiduciary or any other obligation to you in connection with any Commentary you submit to us, and that we are free to use your Commentary or the ideas reflected in the Commentary without any attribution or compensation to you.

Office Blocks’ use of any personal data you submit to the Site is governed by the Site’s Privacy Policy at www.officeblocks.com/privacy-statement . By using our Site, you consent to such processing in accordance with our privacy policy and you warrant that all data provided by you is accurate.

The site is provided on an “as is” basis. Office Blocks expressly disclaims all warranties, including the warranties of merchantability, fitness for a particular purpose and non-infringement. Office Blocks disclaims all responsibility for any loss, injury, claim, liability or damage of any kind, directly or indirectly, resulting from, arising out of or any way related to (a) any errors in or omissions from this site and the content, including but not limited to technical inaccuracies and typographical errors, (b) any third party web sites or content therein directly or indirectly accessed through links in this site, including but not limited to any errors in or omissions therefrom, (c) the unavailability of the site or any portion thereof, (d) your use of this site or (e) your use of any equipment or software in connection with the site. Notwithstanding the foregoing, nothing in these terms of use shall affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

To the extent permitted by applicable law, we, other members of our group of companies and third parties connected to us hereby expressly exclude any liability for any indirect or consequential loss or damage incurred by any user in connection with our Site or in connection with the use, inability to use, or results of the use of our Site, any websites linked to it and any materials posted on it, including, without limitation any liability for:

(a) loss of income or revenue;
(b) loss of business;
(c) loss of profits or contracts;
(d) loss of anticipated savings;
(e) loss of data;
(f) loss of goodwill;
(g) wasted management or office time; and
(h) for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

You agree to defend, indemnify and hold Office Blocks harmless from and against any and all claims, damages, costs and expenses, including attorney’s fees, arising from and related to: (a) your use of the Site; (b) your breach of any provision of these Terms of Use; (c) any Commentary that you have posted on the Site; or (d) your violation of any rights of another person or entity. This indemnity is a continuing obligation, constitutes a separate and independent obligation of the party giving the indemnity and will survive the termination or expiry of these Terms of Use.

This Site features logos, brand identities and other trademarks and service marks (collectively, the “Marks”) that are the property of, or are licensed to Office Blocks and its affiliates. Nothing contained on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use (including as a meta tag or as a “hot” link to any other website) any Mark displayed on this Site without written permission of Office Blocks or any such third party that may own a Mark displayed on the Site.

As a convenience to users, this Site may link to other sites owned and operated by third parties and not maintained by Office Blocks. However, even if such third parties are affiliated with Office Blocks, Office Blocks has no control over these linked sites, all of which have separate privacy and data collection practices and legal policies independent of Office Blocks. Office Blocks is not responsible for the contents of any linked sites and does not make any representations regarding the content or accuracy of material on such sites. Viewing such third party sites is entirely at your own risk.

This Site may contain statements, estimates or projections that constitute “forward-looking statements” as defined under applicable laws. Any such forward looking statements are inherently speculative and are based on currently available information, operating plans and projections about future events and trends. As such, they are subject to numerous risks and uncertainties. Subject to the paragraph (Dispute Resolution) below, the Singapore courts will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to the Site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. These Terms of Use are governed by Singapore law.

Any dispute arising with Office Blocks under or in relation to these Terms of Use shall be referred to and finally resolved by arbitration in Singapore in accordance with the SIAC Rules for the time being in force which rules are deemed to be incorporated by reference in this paragraph. The tribunal shall consist of 1 arbitrator to be jointly appointed by the parties and in the event that the parties fail to agree on the appointment, by the President of the Court of Arbitration of the SIAC. The language of the arbitration shall be English. Nothing in this paragraph prevents a party from seeking urgent or similar interim relief from a court of competent jurisdiction.

If any portion of these Terms of Use is deemed unlawful, void or unenforceable, then that part shall be deemed severable and shall be construed in accordance with applicable law. Such a term will not affect the validity and enforceability of any remaining provisions.

Office Blocks’ failure to act with respect to a breach of these Terms of Use by you or others does not constitute a waiver and shall not limit Office Blocks’ rights with respect to such breach or any subsequent breaches.

Except as provided in the paragraphs with headers “Compatibility” and “Limitation of liability” above, a person who is not a party to these Terms of Use may not enforce any of its provisions under Contracts (Rights of Third Parties) Act (Chapter 53B of Singapore).

Except as expressly stated in these Terms of Use, nothing in these Terms of Use serves to establish a partnership, joint venture, or other agency relationship between you and us. Neither you nor we have the ability to bind the other party to any contract or obligation, and neither party will represent that you or we have such an ability.

These Terms of Use shall constitute the entire agreement between you and Office Blocks for provision and use of the Site. Except where expressly stated otherwise in writing executed between you and Office Blocks, these Terms of Use will prevail over any conflicting policy or agreement for the provision or use of the Site.
